Draft — pending legal review

This page is a structured placeholder prepared for launch. It reflects Zippa's actual product rules but has not been reviewed by a qualified lawyer and should not be relied on as final legal text, especially regarding Sri Lanka's data protection and consumer protection requirements. Replace this notice once counsel has signed off.

1. What Zippa is

Zippa is a Delivery Capacity Network for Sri Lanka — a two-sided marketplace connecting Organizations that need deliveries with independent Delivery Partners who choose to fulfil them. Zippa is not a courier company: we do not own vehicles, employ Delivery Partners, or assign jobs to anyone. Delivery Partners browse the live marketplace and accept jobs on a first-come, first-served basis; the platform never dispatches work.

2. Accounts

  • Organizations must complete onboarding (business, contact, and location details) and be in ACTIVE status before publishing jobs.
  • Delivery Partners must complete KYC verification and be approved before accepting jobs from the marketplace.
  • You are responsible for the accuracy of information on your account and for keeping your login credentials secure.

3. Delivery Partners are independent

Delivery Partners are independent contractors, not employees or agents of Zippa. They choose which jobs to accept, supply their own vehicle, and are responsible for complying with applicable traffic and licensing laws. Zippa does not control the manner or means by which a Delivery Partner completes a job.

4. How a job works

  • Jobs move through DRAFT → READY → PUBLISHED before they're visible on the marketplace.
  • Only one Delivery Partner may hold an active assignment on a job at a time; the platform enforces this at the database level.
  • Pickup and delivery each require a one-time verification code and, at delivery, photo proof — with no exceptions. A job is not complete until both are recorded.
  • Jobs that have been accepted or picked up cannot be cancelled by the Organization; see our Refund & Cancellation Policy.

5. Fees, COD, and settlement

Every payment, fee, and payout is recorded as an immutable ledger entry — balances are always calculated from the ledger and are never edited by hand. Cash-on-delivery (COD) amounts collected by a Delivery Partner on an Organization's behalf are tracked against that partner's COD liability and settled on a regular cycle. Settlement records become final once completed.

6. Prohibited conduct

  • Circumventing OTP or photo-proof verification, or attempting to mark a job complete without it.
  • Providing false KYC, vehicle, or business information.
  • Using the marketplace to ship prohibited, illegal, or hazardous goods.
  • Interfering with the first-come-first-served acceptance mechanism (e.g. automated scripting to unfairly claim jobs).

7. Suspension and termination

Organization accounts may be suspended or blocked, and Delivery Partner accounts suspended or blocked, for breach of these terms, failed KYC, non-payment, or safety concerns. Ledger and audit records are retained regardless of account status, as they are append-only by design.

8. Liability

Zippa provides the coordination layer — the trust, verification, and ledger infrastructure connecting Organizations and Delivery Partners. As Delivery Partners are independent and not employed by Zippa, Zippa's liability for the acts or omissions of a Delivery Partner during a delivery is limited to the extent permitted by Sri Lankan law. Full liability terms and limits will be finalized during legal review.

9. Governing law

These terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Disputes will be subject to the exclusive jurisdiction of the courts of Sri Lanka, unless otherwise required by law.

10. Changes to these terms

We may update these terms as the product evolves. Continued use of Zippa after an update constitutes acceptance of the revised terms.
